CorePOS End User License Agreement (EULA)

This copy of CorePOS applications (“the Software Product”) and accompanying documentation is licensed, not sold.
The Software Product is protected by copyright laws, treaties, and related intellectual property laws.
Sell Seven, Inc., doing business as CSI Works (“CSI Works”), owns intellectual property rights in the Software Product.
The Licensee (“you” or “your”) acknowledges that your rights to download, install, use, copy, or modify the Software Product are subject to these rights and the terms and conditions of this End User License Agreement (“Agreement”).

Acceptance

YOU ACCEPT AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT BY SELECTING THE "ACCEPT" OPTION AND DOWNLOADING, INSTALLING, USING, OR COPYING THE COREPOS SOFTWARE PRODUCT.
IF YOU DO NOT AGREE TO ALL TERMS OF THIS AGREEMENT, YOU MUST SELECT "DECLINE" AND MUST NOT INSTALL, USE, OR COPY THE SOFTWARE PRODUCT.

License Grant

This Agreement entitles you to install and use one copy of the CorePOS Software Product.
You may also make one archival copy stored on a medium other than a hard drive, solely for backup or reinstallation purposes.

Restrictions on Transfer

Without prior written consent from CSI Works, you may not:

Assign, transfer, redistribute, sell, rent, lease, sublicense, or otherwise transfer your rights under this Agreement.

Restrictions on Use

You may not:

Decompile, reverse-engineer, disassemble, or otherwise attempt to derive the source code of CorePOS.
Use the database portion of CorePOS with any software other than CorePOS.

Restrictions on Alteration

You may not:

Modify CorePOS or create derivative works of the Software Product or its documentation.
Alter files or libraries, reproduce the database, or create tables/reports derived from the database portion.

Restrictions on Copying

You may not:

Copy any part of CorePOS except as inherently required for normal operation (e.g., temporary memory storage).
Make more than one backup (archival) copy, and it must not be stored on a computer hard drive.

Disclaimer of Warranties and Limitation of Liability

Unless otherwise explicitly agreed to in writing by CSI Works, CorePOS is provided "as is" without warranties of any kind, either express or implied, including but not limited to:

Implied warranties of merchantability or fitness for a particular purpose.
CSI Works does not guarantee:

That CorePOS will meet your requirements,
That it will operate under all conditions without errors, interruptions, or security vulnerabilities.
You assume sole responsibility for evaluating whether CorePOS meets your business needs.
CSI Works disclaims liability for loss of data, business interruption, or damages caused by the use of CorePOS.

Limitation of Remedies and Damages

Your exclusive remedy for a breach of this Agreement is:

Correction or replacement of the CorePOS Software Product, or
If correction or replacement is not possible, a refund of the purchase price excluding any shipping and handling fees.
Warranties apply only under normal use. Damage resulting from misuse, neglect, electrical problems, acts of nature, or improper installation voids any warranty coverage.

You agree to indemnify and hold CSI Works harmless from any claims, judgments, or expenses resulting from your breach of this Agreement.

Governing Law, Jurisdiction, and Costs

This Agreement is governed by the laws of the State of California, without regard to its conflict of law rules.

Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining terms shall continue in full force.
Where local laws limit restrictions, such restrictions will apply to the maximum extent legally permitted.
